Chapter 6 - The Merger Hidden Behind the Engagement

Miriam took Claire to a private conference room across the street.
Inside waited three independent board members and a forensic accountant.
A screen displayed Halcyon’s proposed merger with Ardent Global Systems.
Claire had never seen it.
According to the documents, Ardent would purchase Halcyon for $310 million.
That was far below its independent valuation of $558 million.
After the sale, Celeste would become Ardent’s global technology president.
Adrian would receive a private consulting agreement and equity potentially worth forty million dollars.
Ordinary Halcyon employees would lose unvested options.
Northstar would be forced to accept the undervalued purchase price.
The merger required approval from eighty percent of voting shares.
Northstar controlled eighty-three percent.
Someone had submitted a digital consent in Northstar’s name.
Claire examined the signature.
It contained her encrypted authorization code.
“I never approved this.”
The forensic accountant nodded.
“The consent was uploaded from an executive terminal inside Adrian’s office.”
Miriam explained that the final closing was scheduled for the following Monday.
The engagement celebration served another purpose.
Ardent planned to announce Adrian and Celeste as the stable leadership team guiding the merged company.
Claire had been described in transaction documents as Adrian’s legally divorced former spouse with no remaining operational interest.
“They erased me from the marriage and the company at the same time,” Claire said.
One director looked ashamed.
“Adrian told us Northstar’s owner supported the transaction.”
“Did anyone speak directly to Northstar?”
“We spoke to a representative.”
“Who?”
The room became quiet.
The representative was an attorney named Peter Lang.
He had no relationship with Northstar Capital.
He worked for a shell company connected to Celeste.
Miriam placed bank statements on the table.
Peter had received $750,000 through an advisory account three days after providing the false consent.
Claire thought about Adrian standing beneath balloons while employees applauded his new future.
The proposal had not been only romantic.
It was a corporate performance timed days before the merger.
He and Celeste intended to enter Monday as a publicly united executive couple controlling a company Claire had unknowingly sold.
Claire removed the Paris tickets from her bag.
Adrian had planned to leave for New York after the engagement to finalize the deal.
