Chapter 2 - The Marriage Behind the Company
Ten years earlier, Claire had married Adrian in a small ceremony beside Boston Harbor.
There were no cameras.
No business reporters.
No champagne tower.
Halcyon Dynamics did not exist yet.
Claire was a thirty-year-old systems engineer developing predictive software for energy grids. Adrian worked in corporate sales and possessed the confidence Claire lacked in public rooms.
She created.
He presented.
They believed their differences made them stronger.
Claire’s technology could predict equipment failures before they caused massive power disruptions. A university laboratory offered to purchase the patents for a modest sum.
Adrian convinced her not to sell.
“This could change the industry,” he said. “Don’t give away your life’s work because you’re afraid to lead.”
For a while, he was right.
Claire contributed the patents.
Her late father’s investment trust provided the first $18 million.
Adrian recruited clients.
Together, they formed Halcyon Dynamics.
But Claire had learned caution from her father.
He had lost control of his first company after trusting the wrong partners.
Following his instructions, Claire placed her shares inside a private holding company called Northstar Capital.
Only Claire, Miriam, and two original trustees knew who stood behind it.
To the outside world, Northstar appeared to be a quiet institutional investor.
It owned eighty-three percent of Halcyon’s voting shares.
Claire owned Northstar.
Adrian knew Northstar had financed the company, but Claire never told him she controlled it personally.
At first, that secrecy was meant to protect both of them.
Investors listened to Adrian more easily when they believed a powerful fund stood behind him.
Claire preferred the laboratory to the stage.
She allowed him to become Halcyon’s public face.
As the company grew, Claire gave management a revocable voting proxy so daily decisions could be made without revealing Northstar’s beneficial owner.
Clause Seventeen protected that arrangement.
If an executive concealed a material conflict, committed fraud, or placed company assets at risk, Northstar could revoke all delegated authority immediately.
Adrian signed the agreement without reading every page.
He joked that lawyers existed for details.
