Chapter 5 - THE EMPTY EMPIRE

Three weeks later, Elena received an anonymous envelope.
There was no return address.
Inside were copies of overdue loan notices addressed to Varela Capital.
The total exceeded $180 million.
Elena assumed they were fake.
Varela Capital sponsored museums, owned private aircraft, and hosted political fundraisers. Doña Victoria wore diamonds older than most of the buildings in downtown Miami.
Yet the documents contained account numbers and internal signatures.
Elena asked her company’s chief financial officer to examine them discreetly.
He returned the next day looking uncomfortable.
“The loans appear real.”
“How could a company that large hide this much debt?”
“By borrowing against one property to protect another. And by keeping certain liabilities outside the public reports.”
Elena remembered the waterfront agreement.
Varela Capital did not merely want to develop the Marquez property.
It needed the property as collateral.
Without it, the Varela empire might collapse.
That evening, Alejandro took her to a private dining room and presented a revised agreement.
He had marked the signature page.
Elena closed the folder.
“I know about the loans.”
For several seconds, Alejandro did not move.
Then he laughed.
“Every major company carries debt.”
“Not debt it hides from a future partner.”
His smile faded.
“Who told you?”
“That matters more to you than whether it’s true?”
Alejandro stood and locked the door.
The sound made Elena’s stomach tighten.
He accused her of spying on his family. When she reached for her phone, he struck it from her hand.
It hit the wall and cracked.
Then he shoved the contract toward her.
“Sign it.”
“No.”
He slammed his hand beside her head.
“You have no idea what happens if this deal fails.”
Elena kept her voice steady. “Then tell me.”
Alejandro’s eyes were cold.
“Your father’s company has debt too.”
He showed her documents proving that a group of shell companies had quietly purchased several Marquez loans.
Those companies could demand immediate repayment if certain conditions were breached.
Varela controlled them.
Alejandro had not come to ask for her signature.
He had come to tell her that her father’s company was already inside his family’s trap.
“If the wedding or merger fails,” he said, “your father loses everything.”
Elena looked at the broken phone on the floor.
For the first time, she understood why Alejandro had chosen her.
