Chapter 9 - The Board Meeting From a Hospital Bed

Priya advised Elena not to attend the board meeting.

Her burns required continued treatment.

The medication affected her concentration.

Elena agreed not to vote until Dr. Hill confirmed she understood the decisions.

She refused to remain completely absent.

A secure video screen was brought into her private room.

The independent board chair, Harold Kim, opened the meeting.

Three directors immediately moved to delay Elena’s participation.

They cited Dr. Keller’s psychiatric statement.

Priya presented the report’s date.

It described an accident before it occurred.

Dr. Keller’s credibility collapsed before the first vote.

One director, Thomas Reed, argued that Jason’s conduct at home had no relationship to the proposed sale.

Priya played the kitchen recording.

Jason could be heard saying:

“If you don’t sign tonight, Vale Recovery loses the financing tomorrow.”

The connection was direct.

The assault had been used to obtain corporate authority.

The founder’s emergency provision activated.

Elena’s vote now carried temporary control, but Priya insisted on a capacity assessment.

Dr. Hill asked Elena to explain the transaction in her own words.

“They borrowed against my house and shares without consent,” she said slowly. “Then Jason’s company offered to buy Marlow’s hospital division using the same borrowed money.”

“What happens if the sale is approved?”

“Vale Recovery gains the contracts. Marlow keeps the debt. Employees lose pension protections.”

Dr. Hill signed the capacity statement.

Elena voted against the sale.

The founder’s provision suspended every director with a financial connection to Vale Recovery.

Two directors immediately objected.

A forensic accountant joined the meeting.

Payments from Jason’s company had entered both directors’ consulting firms.

They had been paid to support the sale.

Security removed them from the call.

The remaining board voted to appoint an independent management committee.

Elena did not name herself chief executive.

She wanted the evidence reviewed before power changed hands.

The sale was canceled.

The lenders froze Vale Recovery’s accounts.

Marlow’s stock transfer agent blocked every unauthorized pledge.

Hundreds of jobs were temporarily protected.

Then the forensic accountant revealed the scale of Jason’s plan.

The nine-million-dollar loan was only the beginning.

He had redirected twenty-seven million dollars from Marlow’s employee healthcare reserve.

Part of it funded Margaret’s real-estate purchases.
