Chapter 9 - THE COMPANY BEHIND NORTH RIVER

North River Capital had been created eight months earlier.

Its registered address belonged to Adrian’s personal attorney.

A hidden ownership schedule listed three beneficiaries.

Adrian Cole: forty percent.

Robert Mercer: thirty percent.

A trust identified only as E.M. Family: thirty percent.

Elaine Mercer.

The plan was simple.

Mercer Urban Holdings would borrow heavily to purchase a distressed development portfolio from North River.

The purchase price was inflated by nearly forty million dollars.

Adrian and Valerie’s parents would receive the money.

Mercer Urban Holdings would inherit the debt.

Valerie would remain a thirty-eight-percent shareholder in the weakened company.

The assets purchased from North River had already been pledged to another lender.

“It’s not an acquisition,” Mara said. “It’s extraction.”

Valerie felt physically ill.

Her parents had not supported Adrian because they believed he was innocent.

They were business partners.

The unexplained vendor payments had been preparing the transaction.

Adrian’s assault occurred hours before Valerie could formally block it.

Mara notified federal financial investigators and requested an emergency injunction.

The board meeting proceeded without Valerie.

Robert called it to order.

Adrian presented North River as the only option preventing insolvency.

Two independent directors asked why Valerie’s proxy had been suspended.

Robert said she was medically incapacitated.

Then Mara entered the meeting by video from a conference room outside the ICU.

“Valerie Mercer has been independently evaluated and is fully competent.”

Robert’s face hardened.

“This discussion is confidential.”

“I represent the owner of thirty-eight percent and the protective share.”

The room became silent.

Mara displayed North River’s ownership schedule.

One director turned toward Robert.

“You own the seller?”

Robert removed his glasses.

“This structure protects family value.”

“It transfers company money to you.”

Adrian interrupted.

“Without the transaction, we default.”

“Because you moved funds through fake vendors,” Mara said.

The protective-share notice appeared on every director’s screen.

Executive authority suspended for thirty days pending investigation.

Adrian stood.

“You cannot activate that without Valerie present.”

Mara looked directly into the camera.

“She is present.”

The feed changed.

Valerie appeared from her hospital bed.

Her face was bruised.

Her voice was faint.

“I vote to stop North River.”

No director challenged her.

The acquisition failed.

Adrian was suspended as chief executive.

Robert was removed as board chair pending investigation.

Elaine’s trust vote was frozen.

Inside the ICU hallway, Adrian stared at the board notification.

Then he turned toward Valerie’s room and struck the glass with his palm.

“You have no idea what you’ve done!”

Valerie held his gaze.
