Chapter 14 - THE TRIGGER BURIED IN THE DEBT

Renata’s first day as restructuring chair began at six in the morning.
She entered Grupo Ibarra through the main lobby.
The same receptionist who once asked whether she had an appointment stood nervously.
“Mrs. Ibarra—”
“Renata is fine.”
“I’m sorry about before.”
“You followed the information leadership gave you.”
Renata looked toward the executive elevators.
“We are changing that information.”
She gathered department heads in the largest conference room.
“No employee will be fired to protect executive bonuses,” she told them.
“No project will be sold without open review. If you have reported concerns that were ignored, bring them directly to the audit team.”
Within hours, employees produced evidence Valeria had tried to erase.
A junior analyst found unusual language inside a loan amendment.
If Rodrigo was removed as chief executive, the lender could demand immediate repayment of ninety million dollars.
The lender was a Mercer Ridge affiliate.
Valeria had inserted the clause six months earlier.
Rodrigo signed it.
If the debt became due, Grupo Ibarra would default before Renata could restructure it.
Thomas Kessler believed he still had the company trapped.
Daniel called the clause a hidden change-of-control trigger.
“Can we challenge it?” Renata asked.
“Yes, if we prove Mercer Ridge obtained it through fraud.”
“That could take months.”
“We have six days.”
Renata reviewed the signature process.
The amendment had been approved during a video meeting.
Rodrigo appeared on screen.
Valeria presented the terms.
The recording had been archived.
When Renata watched it, she noticed Rodrigo repeatedly looking away from the camera.
Someone was inside the room with him.
A reflection appeared in the glass behind his desk.
Valeria.
But Valeria was supposedly joining from another location.
The video box showing her face was prerecorded.
She had been controlling both sides of the meeting.
More importantly, she muted Rodrigo when he asked about the repayment trigger.
The official transcript removed his question.
A systems engineer recovered the original audio.
Rodrigo had said, “Why would my removal accelerate the entire debt?”
Valeria answered from inside the room, away from the active microphone.
“Because you’re not going anywhere.”
Then she resumed the prerecorded presentation.
Rodrigo still signed.
But the deception gave Renata grounds to challenge enforcement.
The court scheduled an emergency hearing.
Mercer Ridge responded by releasing private details of Rodrigo’s affair to the press.
The story portrayed Renata as a jealous wife using the trust to seize her husband’s company.
