Chapter 12 - THE FLIGHT SHE NEVER BOARDED
Federal agents stopped Valeria near the private terminal gate.
She wore dark glasses and carried one leather bag.
Inside were two laptops, six phones, bearer bonds, and a flash drive hidden inside a lipstick tube.
She demanded an attorney.
She claimed the trip was business.
Agents showed her the fraud warrant.
Her expression remained calm until they mentioned Red Meridian.
Then she stopped speaking.
The encrypted drive contained years of emails.
Some were between Valeria and Mercer Ridge executive Thomas Kessler.
Others were between Valeria and Rodrigo.
The earliest messages began before the affair.
Valeria encouraged Rodrigo to avoid Renata’s oversight.
YOUR WIFE WILL NEVER APPROVE THE EXPANSION IF SHE SEES THE REAL DEBT.
Rodrigo replied:
THEN SHE DOESN’T SEE IT UNTIL WE CLOSE.
Another exchange discussed Orion.
Valeria wrote:
I NEED A VEHICLE FOR CONSULTANTS WHO WON’T APPEAR IN THE BOARD FILES.
Rodrigo answered:
DO IT. KEEP MY NAME OUT.
Renata read the message twice.
Rodrigo had not known Valeria would steal millions.
But he had helped create the structure she used.
He gave her secrecy.
Access.
Authority without scrutiny.
Valeria then began moving legitimate consulting costs through Orion.
Later, she added fake invoices.
By the time Rodrigo noticed the fees were too high, their affair had started.
He could not expose her without exposing himself.
So he kept signing.
The final folder on the drive was labeled AFTER DEFAULT.
It contained a presentation for Mercer Ridge.
Grupo Ibarra would be broken into four pieces.
Thousands of workers would be dismissed.
Rodrigo would be blamed for reckless expansion.
Renata would be portrayed as a conflicted trust chair who withheld financing to punish her unfaithful husband.
Valeria would join the new company as chief operating officer.
Her eight-percent option could be worth more than thirty million dollars.
Renata closed the file.
Daniel asked, “Did you know?”
“No.”
“Do you still intend to recuse yourself from the control vote?”
Renata looked through the conference-room glass.
Grupo Ibarra employees were gathering outside headquarters.
Rumors of bankruptcy had begun spreading.
“No,” she said. “I was deceived as a trustee, shareholder, and spouse.”
She signed the conflict disclosure.
“I will not vote on criminal findings. But I will accept appointment as restructuring chair if the independent directors request it.”
Daniel nodded.
“They already have.”
Across town, Valeria’s attorney proposed a deal.
She would provide evidence against Thomas Kessler.
