Chapter 4 - The Buyout Hidden Behind Her Name

Daniel planned to purchase Blackwood Manufacturing through a private holding company.

The proposal had not yet reached the full board.

A small group of directors had been told that outside investors wanted to buy the company and modernize its operations.

In reality, the buyer was North Vale Industrial Holdings.

North Vale had been created only six months earlier.

Its ownership was hidden through several limited-liability companies.

Maya Chen traced the final controlling interest to Daniel.

Margaret and Richard held smaller percentages.

The pension money financed the deposit.

Daniel had borrowed against Blackwood assets to cover the rest.

After the buyout, he planned to close two factories, sell the land, terminate the traditional pension plan, and replace it with individual accounts.

Thousands of workers would lose jobs.

Retirees would be pushed into a federal insurance program paying only part of what they had earned.

Daniel expected to make more than eighty million dollars from the land sales alone.

Grace discovered the structure only because Richard accidentally mentioned an acquisition.

She contacted Maya the next morning.

Maya had been Samuel Blackwood’s attorney and one of the original architects of the Stewardship Trust.

She listened without interrupting.

Then she asked Grace to bring every document she could find.

They met inside a quiet legal office near the river.

Maya spread the company registrations across a conference table.

“He used the pension fund as his own financing.”

“Can we stop him?”

“Yes. But stopping the transaction is not the same as proving criminal intent.”

“He knew what he was doing.”

“We need evidence that he knowingly moved protected funds for personal benefit.”

Grace showed her the investment report.

Maya examined it.

“This proves the transfer. Daniel will claim the pension committee believed North Vale was legitimate.”

“He controls the committee.”

“Then we prove that too.”

Maya also reviewed the Blackwood Stewardship Trust.

Grace still controlled forty-nine percent of direct voting shares.

A special founder’s share held by the trust could break any board deadlock.

More importantly, a pension-protection provision automatically transferred temporary voting control to Grace if an executive used employee-benefit assets for personal enrichment.

Daniel had never read the full provision.

Samuel intentionally kept it inside a sealed trust schedule accessible only to Grace and Maya.

“Why didn’t Dad tell me?”

“He hoped you would never need it.”

Grace looked at the papers.

“Can we activate it now?”

“We can freeze the transaction. But Daniel will argue that you fabricated the conflict because you want your job back.”

“Then what do we need?”

“His own words.”

Maya suggested building a controlled situation.

Grace would let Daniel believe she had found only part of the scheme.

She would appear frightened.

She would allow him to demand a signature transferring her remaining voting rights.

Everything would be recorded.

Grace stared at Maya.

“You’re asking me to let him think he has won.”

“No. I’m asking whether you feel safe enough to let him expose himself while help is already moving.”

Grace thought about Walter’s missing four hundred dollars.
